Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and WAL Systems Corp. ("Company," "we," "us," or "our"), a corporation existing under the laws of British Columbia, Canada.

By accessing or using the TesDash software, dashboard, or data collection services (collectively, the "Service"), you confirm that:

1. You have read, understood, and agreed to these Terms.
2. You are at least the age of majority in your jurisdiction of residence.
3. If you are using the Service on behalf of a business, you have the authority to bind that entity to these Terms.

2. Service Description and Third-Party Dependencies

TesDash is a telemetry collection and visualization tool for Tesla vehicles. You acknowledge that the Service is heavily dependent on third-party platforms and APIs which are outside of our control.

2.1 Tesla API Disclaimer

The Service relies on the Tesla Fleet API and other connectivity methods provided by Tesla, Inc. ("Tesla"). By using TesDash, you acknowledge:

• We are not Tesla: WAL Systems Corp. is an independent third-party developer. We are not affiliated with, endorsed by, or sponsored by Tesla.
• API Volatility: Tesla may change, suspend, or terminate access to their API at any time without notice. We do not guarantee that TesDash will continue to function if Tesla alters their third-party access policies.
• Warranty Voiding: You are solely responsible for ensuring that your use of TesDash does not violate your vehicle's warranty or lease agreement.

2.2 Infrastructure Providers

We utilize third-party services for authentication, analytics, and infrastructure, including Google Analytics, Firebase Auth, Cloudflare, CockroachDB, and Amazon Web Services (AWS). We reserve the right to change these providers at any time without notice to you.

3. Safety and Prohibited Use

1. Do Not Use While Driving: You shall never interact with the TesDash dashboard, adjust settings, or view analytics while operating a vehicle.
2. Not a Safety Device: TesDash is for informational purposes only. It is not a real-time safety monitor, and data shown (e.g., battery level, tire pressure, location) may be delayed, inaccurate, or incomplete. Do not rely on TesDash for critical vehicle operation decisions.
3. Vehicle Control: If the Service includes features that allow remote control of the vehicle (e.g., lock/unlock, climate control), you agree to use these only when the vehicle is safely parked and you have visual confirmation of its surroundings.

4. Data Collection and Privacy

By using the Service, you consent to the collection and processing of your data as described below.

• Data Controller: WAL Systems Corp. acts as the Data Controller for your account information.
• Vehicle Telemetry: We collect detailed telemetry from your vehicle, including but not limited to location, speed, battery status, and charging history.
• Storage Locations: You acknowledge that your data may be stored on-premise in British Columbia or processed via cloud providers (such as AWS or Cloudflare) which may store data in the United States or other jurisdictions. Your data may be subject to the laws of those jurisdictions.
• Google Analytics & Firebase: We use Google Analytics and Firebase to track usage and handle authentication. These services may place cookies on your device. You consent to the processing of data about you by Google in the manner and for the purposes set out in their respective privacy terms.

5. Service Level and Uptime

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

• No Warranty: We expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• No Guarantee of Uptime: We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for data loss due to server outages, database corruption (CockroachDB/on-prem failures), or API disconnections.

6. Limitation of Liability

Please read this section carefully. It limits our liability to you to the maximum extent permitted by applicable law, including the Business Practices and Consumer Protection Act (British Columbia).

If you are using a free version or trial of the Service:

In no event will WAL Systems Corp. be liable for:

1. Damages resulting from your use of the Service while driving.
2. Any actions taken by Tesla (e.g., disabling your vehicle's API access).
3. Cost of substitute goods or services.

7. Indemnification

You agree to indemnify, defend, and hold harmless WAL Systems Corp., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any third-party right, including Tesla's Terms of Service or intellectual property rights.
• Any accident or injury resulting from your use of the Service while operating a vehicle.

8. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or if our access to the Tesla API is revoked.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for the resolution of any disputes.
